Terms of Use

These Terms of Use (“Terms”) are an agreement between you and StratIT Solutions LLC (“StratIT,” “we,” “us,” or “our”) governing your use of GoodWhen. By creating an account or using GoodWhen, you agree to these Terms, our Privacy Policy, and the Community Standards.

Using GoodWhen

GoodWhen helps groups compare availability, vote, and coordinate social plans. You must be at least 13 years old to use GoodWhen. If the law where you live requires parental consent at a higher age, you must have that consent.

GoodWhen is a coordination tool. It is not an emergency service, transportation provider, venue operator, or guarantee that a plan, participant, location, or activity is safe or available.

Accounts and invitations

You are responsible for accurate account information, maintaining the security of your sign-in credentials and devices, and activity performed through your account. Tell us promptly if you believe your account has been compromised. Only invite people you are permitted to contact and do not misuse invitations or notifications.

Your content and group information

You keep ownership of content you submit. You give us a limited, worldwide, non-exclusive license to host, process, reproduce, and display that content only as needed to operate, secure, support, and improve GoodWhen.

Content shared with a group or plan is visible to its participants. You are responsible for what you share and for having the rights and permissions needed to share it. If you leave or delete your account, shared plan history may remain for other participants with your identity removed.

Free use and subscriptions

GoodWhen may offer free features with usage limits and paid subscriptions with additional features or higher limits. Current prices, billing periods, trial terms, and included features will be shown before purchase.

  • Subscriptions are billed through your Apple App Store or Google Play account and generally renew automatically unless canceled at least 24 hours before the end of the current billing period.
  • You can manage or cancel a subscription through your store account settings. Deleting GoodWhen does not cancel a subscription.
  • Payments, refunds, and billing disputes are handled under the applicable app store’s rules and applicable law.
  • We may change future pricing or features with notice required by the app store or law. A price change does not take effect retroactively.

Acceptable use

The GoodWhen Community Standards are part of these Terms.

You may not use GoodWhen to:

  • Break the law, infringe rights, harass, threaten, deceive, or harm another person.
  • Post unlawful, abusive, discriminatory, sexually exploitative, or dangerous content.
  • Send spam, scrape data, impersonate others, or access accounts or groups without permission.
  • Interfere with GoodWhen, bypass limits or security, introduce malicious code, or reverse engineer the service except where law expressly allows it.
  • Use GoodWhen for a high-risk purpose where failure could cause death, injury, or significant property damage.

Third-party services

GoodWhen relies on services such as app stores, cloud infrastructure, maps or links, and notification providers. Their services may be governed by separate terms. We are not responsible for third-party services outside our control.

Suspension, deletion, and changes

You may stop using GoodWhen at any time and may delete your account in the app or through our account deletion page. We may suspend or terminate access if reasonably necessary to protect users, comply with law, address security risk, or respond to a serious or repeated violation of these Terms.

We may modify, add, or remove features and may discontinue GoodWhen. When practical, we will provide reasonable notice of material changes.

Disclaimers and limitation of liability

To the fullest extent permitted by law, GoodWhen is provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

To the fullest extent permitted by law, StratIT and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities arising from GoodWhen. Our aggregate liability for claims relating to GoodWhen will not exceed the greater of the amount you paid us for GoodWhen during the 12 months before the claim or US $25. Some jurisdictions do not allow certain exclusions, so these limits may not fully apply to you.

Indemnity

To the extent permitted by law, you agree to defend and indemnify StratIT from claims arising from your unlawful use of GoodWhen, your content, or your material violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Courts located in Hamilton County, Ohio will have jurisdiction, except where consumer law requires otherwise.

Changes to these Terms

We may update these Terms. If a change is material, we will provide notice as required. Continuing to use GoodWhen after revised Terms take effect means you accept them.
